These Terms of Use ("Terms") govern your access to and use of the website located at vylaire.com (the "Site") operated by VYLAIRE, organized under the laws of the State of Wyoming ("VYLAIRE," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms.
1. No Offer, No Advice, No Solicitation
Nothing on this Site constitutes an offer to buy or sell any security, real property, financial product, or other investment. Nothing on this Site constitutes legal, financial, tax, accounting, or investment advice. The Site does not solicit capital, investments, or contributions from any person.
All content (including buy box criteria, acquisition strategies, the property calculator, and any indicative figures) is provided solely for informational purposes. Buy box criteria are screening guidelines used internally and are subject to change without notice. The presence of an asset class on this Site does not constitute a commitment to acquire any specific property.
2. The Property Calculator
The Site includes a calculator that estimates indicative metrics (such as CAP rate and cash-on-cash return) based on figures you input. All calculator outputs are illustrative estimates only and reflect the inputs you supply. They are not an appraisal, a valuation, an offer to purchase, a commitment, or financial, tax, or legal advice. You should not rely on calculator outputs for any business decision without independent professional review.
3. Property Submissions
The Site permits you to submit information about a property you own, represent, or have under contract. By submitting a property, you represent and warrant that:
- You have the legal right and authority to submit the information and any uploaded documents;
- The information you provide is accurate to the best of your knowledge;
- You are not subject to a non-disclosure agreement that prohibits the submission;
- You will rely on your own counsel for legal, tax, and financial advice;
- If you are a real estate broker, agent, or wholesaler, you hold the licenses and authorizations required in your jurisdiction to make the submission.
Submission of a property does not create a contract, letter of intent, exclusive engagement, fiduciary relationship, broker-buyer agreement, or any other binding obligation between you and Vylaire. Vylaire is under no obligation to respond to, evaluate, pursue, or close any submitted opportunity. Any future commercial relationship between you and Vylaire will be governed by a separately negotiated and signed written agreement.
4. Brokers, Wholesalers, and Referral Sources
Vylaire honors the listing broker's commission structure on every closed transaction. Cooperation and commission terms are documented in a separate written agreement executed at or before the letter of intent. Wholesalers and contract assignees are responsible for verifying that their activities comply with all real estate licensing and disclosure requirements applicable in the state where the subject property is located.
5. Geographic Exclusions
Vylaire does not currently underwrite property assets located in California (CA), Florida (FL), Louisiana (LA), or New York (NY). Submissions concerning property in those states will not be reviewed. Vylaire may modify the list of excluded jurisdictions at any time without notice.
6. Intellectual Property
All content on the Site (including text, design, logos, photographs, video, the downloadable Buy Box PDF one-pager, and code) is owned by or licensed to VYLAIRE and is protected by United States and international copyright, trademark, and other intellectual property laws. You may download the Buy Box PDF for personal or internal business use, but you may not modify it, remove attribution, or use it to imply endorsement.
7. Acceptable Use
You agree not to: (a) use the Site for any unlawful purpose; (b) submit false, misleading, or fraudulent property information; (c) submit confidential information that you are not authorized to share; (d) interfere with the Site's operation; (e) attempt to gain unauthorized access to any portion of the Site; or (f) scrape, harvest, or otherwise extract bulk data from the Site.
8. Third-Party Links and Services
The Site may contain links to or rely on third-party services (such as Chart.js, Netlify Forms, and any data-room links you provide). Vylaire is not responsible for the content, accuracy, or practices of any third-party service.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. VYLAIRE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF MALICIOUS CODE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VYLAIRE, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR YOUR SUBMISSION OF ANY PROPERTY, EVEN IF VYLAIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VYLAIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Vylaire and its members, managers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your submission of inaccurate or unauthorized property information, (b) your breach of these Terms, or (c) your violation of any law or any third-party right.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Laramie County, Wyoming, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site following any update constitutes acceptance of the revised Terms.
14. Severability and Entire Agreement
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vylaire concerning your use of the Site.
